Terms and Conditions
These Terms and Conditions explain the rules governing the use of our website, custom apparel inquiries, project agreements, artwork, production, payments, shipping, returns, and related services.
These Terms and Conditions constitute a legally binding agreement between you and Thread Wisely LLC, a Florida limited liability company referred to in these Terms as “Thread Wisely,” “Company,” “we,” “us,” or “our.”
These Terms apply when you access or use our website, submit an inquiry, request a quote, approve a proof, enter into a project agreement, provide artwork or merchandise, make a payment, or purchase products or services from us.
Custom and personalized orders are produced specifically for the customer. Once an order has entered processing or production, it cannot be canceled, returned, or exchanged except when a product is defective or does not materially match the approved order.
Acceptance of these Terms
By using our website, submitting an inquiry, accepting a quote, signing a project agreement, approving artwork or a proof, making a payment, or otherwise engaging our services, you acknowledge that you have read, understood, and agreed to these Terms.
Certain projects may also be governed by a separate written proposal, estimate, invoice, order confirmation, proof approval, or service contract. Those documents are incorporated into these Terms by reference.
If a specific written project agreement directly conflicts with these general Terms, the specific written project agreement will control with respect to that project.
If you do not agree to these Terms, you must not use our website, submit an order, approve a project, or purchase our products or services.
Eligibility and service area
You must be at least 18 years old and legally capable of entering into a binding contract to submit an order or engage our services.
When acting on behalf of a business, organization, school, team, nonprofit, or another person, you represent that you have the authority to bind that party to these Terms and to the applicable project agreement.
Thread Wisely currently provides products and services only to customers located within the United States. We may decline an inquiry or order based on location, production capacity, project requirements, risk, or other legitimate business considerations.
Inquiries, quotes, and project agreements
Submitting an inquiry
Submitting an inquiry through our website does not create an order, guarantee availability, reserve production capacity, or obligate Thread Wisely to accept a project.
An order becomes binding only after the applicable project details have been accepted, any required agreement has been signed, and the required deposit or payment has been received.
Quotes and estimates
Quotes are based on the information available when the quote is prepared, including garment type, quantity, sizes, decoration method, artwork, colors, placement, turnaround time, shipping, and other project requirements.
Unless otherwise stated, a quote is an estimate and may be revised before acceptance if project specifications, vendor costs, product availability, taxes, shipping expenses, artwork requirements, or production requirements change.
Project-specific terms
The applicable contract, proposal, invoice, or order confirmation may establish:
- Product types, colors, sizes, and quantities;
- Printing, embroidery, or decoration methods;
- Artwork setup and digitizing requirements;
- Included design revisions;
- Deposits and payment schedules;
- Estimated production and delivery dates;
- Rush-production charges;
- Shipping, pickup, or delivery arrangements; and
- Other project-specific conditions.
Pricing, fees, deposits, and payments
Project pricing
Pricing depends on the scope of each project. Thread Wisely may require full payment, a deposit, progress payments, or another payment arrangement depending on the project.
The required payment terms will be identified in the applicable quote, invoice, contract, or order confirmation.
Additional fees
A project may include additional charges for artwork preparation, graphic design, file conversion, digitizing, screen setup, color separation, specialty materials, samples, proofs, revisions, rush production, shipping, delivery, taxes, or other services.
All material charges and project-specific fees will be disclosed or agreed upon through the applicable quote, contract, invoice, or written change authorization.
Deposits
Unless expressly stated otherwise in writing, all deposits are non-refundable. Deposits compensate Thread Wisely for reserving production capacity, ordering products and materials, administrative work, design preparation, artwork setup, and other project costs.
Payment methods
Payments may be processed through WooCommerce, an authorized third-party payment processor, Zelle, or another payment method approved by Thread Wisely.
Third-party payment processors may impose their own terms, privacy practices, security procedures, and transaction restrictions. Thread Wisely does not control those third-party services.
Payment authorization
You represent that you are authorized to use the selected payment method and authorize us and our payment providers to charge all approved amounts associated with your project.
Production may be suspended until all required payments have cleared. Unless otherwise agreed in writing, completed products will not be shipped, delivered, or released until the outstanding balance has been paid in full.
Order changes and cancellations
Cancellation before processing
A customer may request cancellation before the order has entered processing. However, approval of a cancellation is not guaranteed, and non-refundable deposits, design fees, setup charges, ordered merchandise, processing costs, and work already completed will not be refunded.
Orders that have entered processing
Once an order has entered processing or production, it cannot be canceled. Processing may include ordering garments or materials, preparing artwork, creating screens, digitizing embroidery files, scheduling production, printing, embroidering, packaging, or performing other project work.
Customer-requested changes
Changes to quantities, products, sizes, colors, decoration methods, artwork, deadlines, delivery instructions, or other specifications must be requested in writing.
Thread Wisely may reject a requested change after approval or processing has begun. Approved changes may result in additional fees and revised production or delivery estimates.
Artwork, trademarks, and intellectual property
Customer-submitted materials
You may submit only artwork, logos, photographs, text, trademarks, trade names, designs, and other materials that you own or are legally authorized to use, reproduce, modify, print, embroider, and distribute.
By submitting materials to Thread Wisely, you represent and warrant that:
- You own the materials or have obtained all required licenses and permissions;
- Our use of the materials to complete your project will not infringe another party’s copyright, trademark, publicity, privacy, or other rights;
- The materials do not violate any law or contractual obligation; and
- You have authority to authorize Thread Wisely to reproduce and modify the materials for production.
License for production
You grant Thread Wisely a limited, non-exclusive license to use, copy, resize, convert, adjust, separate, digitize, reproduce, print, embroider, and otherwise process submitted materials as reasonably necessary to prepare and complete your project.
Prohibited content
Thread Wisely reserves the right to reject or discontinue any project that we reasonably believe:
- Infringes intellectual property rights;
- Is unlawful, fraudulent, deceptive, or defamatory;
- Promotes credible threats or unlawful violence;
- Exploits or sexualizes minors;
- Contains unlawful discriminatory content;
- Facilitates criminal activity; or
- Could expose Thread Wisely, its employees, vendors, or production partners to legal or reputational harm.
A refusal to produce content does not mean that Thread Wisely has reviewed or verified the legality of any customer-submitted material.
Indemnification for submitted materials
You agree to defend, indemnify, and hold harmless Thread Wisely LLC and its owners, employees, contractors, production partners, vendors, and representatives from claims, losses, damages, liabilities, penalties, and reasonable legal expenses arising from your submitted materials, your lack of authorization, or your violation of another party’s rights.
Digital proofs and customer approval
Proof availability
Digital mockups, design proofs, printed samples, or physical samples may be available for an additional charge. The availability, format, price, and number of included revisions will be established in the applicable project agreement.
Written approval
When a proof is provided, production will not begin until the customer provides written approval. Approval may be provided through email, electronic signature, an online approval system, or another written method accepted by Thread Wisely.
Customer review obligations
Before approval, the customer must carefully review all details, including:
- Spelling, grammar, dates, numbers, and contact information;
- Logos, artwork, layout, and design elements;
- Garment style, brand, color, and material;
- Sizes and quantities;
- Print or embroidery placement;
- Decoration colors and dimensions; and
- Any other project specification.
Customer approval is final. The customer is responsible for errors, omissions, or incorrect specifications that were visible in or reasonably discoverable from the approved proof, order confirmation, or project agreement.
Production adjustments
Thread Wisely may determine that minor artwork adjustments are necessary for printing, embroidery, legibility, sizing, color separation, thread compatibility, or another production requirement.
When a change materially affects the approved appearance, we will request customer approval before proceeding. Minor technical adjustments that do not materially alter the approved design may be performed as part of normal production preparation.
Production, turnaround times, and variations
Production estimates
Production and delivery dates are estimates unless Thread Wisely expressly guarantees a specific date in a signed written agreement.
Estimated turnaround time generally begins only after:
- The project specifications are finalized;
- All required proofs are approved;
- Required products and materials are available;
- The required deposit or payment has cleared; and
- Thread Wisely has received all required information.
Delays caused by late approvals, missing information, payment issues, specification changes, vendor delays, product shortages, shipping interruptions, equipment issues, severe weather, labor disruptions, emergencies, or circumstances outside our reasonable control may extend the estimated timeline.
Rush production
Rush production may be available for an additional charge depending on quantity, product availability, production requirements, and scheduling capacity. Requesting rush service does not guarantee availability.
Reasonable production variations
Custom-decorated products may have reasonable variations between samples, proofs, production runs, individual garments, and digital screen displays. These may include minor variations in:
- Garment shade, texture, construction, or sizing;
- Ink, thread, and material color;
- Print or embroidery placement;
- Artwork dimensions;
- Stitching and registration;
- Color appearance across different materials; and
- Manufacturer specifications.
Reasonable industry-standard variations are not considered defects and do not qualify for a refund, return, reprint, or replacement.
Product availability
Garments and materials may be supplied by third-party manufacturers and distributors. Product colors, styles, sizing, construction, availability, and specifications may change without notice.
If an approved item becomes unavailable, Thread Wisely may offer a reasonably comparable substitute for the customer’s approval.
Customer-supplied products and garments
Thread Wisely may accept customer-supplied garments, products, or materials at our discretion. Acceptance may depend on the item’s material, construction, condition, decoration requirements, replacement availability, and production risk.
The customer is responsible for verifying that supplied products are suitable for the intended printing, embroidery, heat application, finishing, or production process.
Customer-supplied products are provided at the customer’s risk. Unless otherwise expressly agreed in a signed writing, Thread Wisely is not responsible for replacing or reimbursing customer-supplied merchandise that is damaged, altered, discolored, scorched, misprinted, or otherwise affected during setup, testing, decoration, handling, or production.
We recommend that customers provide additional pieces when practical to account for testing, manufacturer defects, or potential production loss.
Shipping, delivery, and risk of loss
Shipping providers
Thread Wisely may use independent shipping carriers, postal services, couriers, fulfillment providers, or other third parties to deliver orders.
Shipping and delivery dates are estimates and are not guaranteed by Thread Wisely unless expressly stated in a signed written agreement.
Customer address responsibility
The customer is responsible for providing a complete and accurate shipping address. Additional charges resulting from an incorrect, incomplete, or undeliverable address may be charged to the customer.
Carrier-related incidents
To the maximum extent permitted by law, Thread Wisely is not responsible for packages that are delayed, lost, stolen, missing, misdelivered, or damaged after being transferred to the shipping provider.
When available, Thread Wisely may assist the customer with initiating a carrier claim. Assistance with a claim does not constitute an admission of liability and does not guarantee reimbursement or replacement.
Shipping delays before dispatch
If Thread Wisely cannot ship an order within an applicable promised shipping period, we will address the delay and available options as required by applicable law.

Returns, exchanges, defects, and incorrect products
Custom and personalized products
Because custom and personalized products are made to the customer’s specifications, they are final sale and are not eligible for return or exchange based on preference, sizing selection, approved artwork, reasonable production variation, or a customer-provided error.
This restriction does not apply when a custom product is materially defective or materially different from the approved order because of an error attributable to Thread Wisely.
Eligible products and claims
Subject to inspection and the applicable project terms, a return, exchange, repair, replacement, reprint, or other appropriate remedy may be available for:
- Materially defective products;
- Products materially different from the approved order;
- Incorrect products supplied by Thread Wisely; and
- Eligible blank or non-customized products returned in their original, unused condition.
Thirty-day reporting period
Claims involving a defect, incorrect product, shortage, or production error must be reported within 30 calendar days after delivery or receipt of the order.
The customer should retain the affected products, original packaging, shipping materials, and related documentation until the claim has been resolved.
Claim documentation
Thread Wisely may require the order number, written description of the issue, photographs, video, measurements, product count, proof of purchase, or return of the affected merchandise before approving a remedy.
Available remedies
After reviewing an eligible claim, Thread Wisely may, as appropriate and subject to applicable law:
- Repair or correct the affected product;
- Reprint or replace the affected product;
- Exchange an eligible blank product;
- Issue a partial or full refund for the affected item; or
- Provide another mutually agreed resolution.
Thread Wisely determines the appropriate remedy based on the nature of the issue, the number of affected items, product availability, and applicable law.
Website accounts, reviews, and acceptable use
Account information
When creating or using an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for activity performed through your account.
You must notify Thread Wisely promptly if you believe your account or credentials have been accessed without authorization.
User content
Reviews, comments, uploaded files, messages, and other content submitted through our website must be lawful, accurate, and relevant. You may not submit content that infringes another person’s rights, contains malicious software, impersonates another party, or is fraudulent, threatening, defamatory, abusive, or unlawfully discriminatory.
You grant Thread Wisely a non-exclusive, royalty-free license to host, store, reproduce, and display user-submitted content as reasonably necessary to operate the website, process an inquiry, complete a project, provide customer service, or display a review.
Prohibited website activity
You may not:
- Use the website for an unlawful or fraudulent purpose;
- Attempt to gain unauthorized access to our systems;
- Interfere with website security or performance;
- Upload malware or harmful code;
- Scrape or copy website content through automated means;
- Misrepresent your identity or authority; or
- Use our content or trademarks without authorization.
We may restrict or terminate access to the website or an account when we reasonably believe these Terms have been violated.
Photography and portfolio use
Unless the customer requests confidentiality before the applicable contract is signed, Thread Wisely may photograph, record, reproduce, display, and publish completed products and project-related visuals for lawful business and marketing purposes.
These purposes may include:
- Our website and online portfolio;
- Social media;
- Digital and printed advertisements;
- Sales presentations and proposals;
- Trade-show or sample displays;
- Case studies; and
- Other promotional materials.
A customer who requires confidentiality or does not want a completed project used for marketing must notify Thread Wisely in writing before signing the project agreement. Any approved confidentiality restriction should be documented in the signed agreement.
Nothing in this section transfers ownership of a customer’s underlying logo or trademark to Thread Wisely.
Disclaimers and limitation of liability
No implied guarantees
Except for any express warranty stated in a signed project agreement and to the maximum extent permitted by law, the website, products, and services are provided “as is” and “as available.” Thread Wisely disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Thread Wisely does not guarantee that its website will always be available, uninterrupted, secure, or free from technical errors.
Limitation of damages
To the maximum extent permitted by law, Thread Wisely LLC and its owners, employees, contractors, suppliers, production partners, and representatives will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, including lost profits, lost revenue, lost business opportunities, reputational loss, or loss of data.
To the maximum extent permitted by law, the total aggregate liability of Thread Wisely arising from a particular order, product, project, or service will not exceed the amount actually paid to Thread Wisely for the specific order, product, project, or service giving rise to the claim.
These limitations do not exclude liability that cannot lawfully be excluded or limited.
Force majeure
Thread Wisely will not be liable for a delay or failure caused by circumstances beyond its reasonable control, including severe weather, natural disasters, fire, flood, public health emergencies, government actions, labor disruptions, transportation interruptions, carrier delays, supplier shortages, utility failures, internet outages, equipment failures, civil unrest, or similar events.
Customer indemnification
You agree to defend, indemnify, and hold harmless Thread Wisely LLC and its owners, employees, contractors, vendors, production partners, and representatives from third-party claims arising from:
- Your violation of these Terms;
- Your submitted artwork or content;
- Your infringement of another party’s rights;
- Your misuse of our website, products, or services; or
- Your violation of applicable law.
Dispute resolution and governing law
This section contains an agreement to resolve most disputes through individual binding arbitration and includes a waiver of class and representative actions.
Informal dispute resolution
Before initiating arbitration or litigation, the party asserting a dispute must provide the other party with a written notice describing the claim and requested resolution.
The parties agree to make a good-faith effort to resolve the dispute informally for at least 30 days after the notice is received.

Binding individual arbitration
Except for matters eligible for small claims court, requests for temporary or preliminary injunctive relief, or claims concerning intellectual property rights, any dispute arising from or relating to these Terms, our website, an inquiry, an order, a project agreement, a product, or a service will be resolved through binding arbitration on an individual basis.
The arbitration will be administered by the American Arbitration Association under the rules applicable to the nature of the dispute, unless the parties agree to another recognized arbitration provider.
Unless applicable law or the arbitration rules require otherwise, the arbitration will take place in Florida, remotely, or through written submissions as determined by the arbitrator.
The arbitrator may award any remedy available under applicable law on an individual basis, but may not consolidate claims or preside over a class, representative, or collective proceeding.
Small claims option
Either party may bring an eligible individual claim in small claims court instead of arbitration, provided the claim remains exclusively within that court and is not combined with claims of other parties.
Class-action waiver
To the maximum extent permitted by law, you and Thread Wisely agree that each party may bring claims only in its individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, coordinated, mass, or representative proceeding.
Jury-trial waiver
To the maximum extent permitted by law, each party knowingly and voluntarily waives any right to a trial by jury for disputes covered by the arbitration agreement.
Governing law
These Terms and any dispute not subject to arbitration are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Where a dispute is legally permitted to proceed in court, the parties consent to the jurisdiction of the appropriate state or federal courts located in Florida, subject to applicable venue and consumer-protection requirements.
General legal provisions
Electronic communications
You consent to receiving project-related communications, notices, invoices, approvals, disclosures, and records electronically. Electronic approvals and signatures may have the same legal effect as handwritten signatures to the extent permitted by applicable law.
Separate policies
These Terms should be read together with our Privacy Policy and Shipping and Returns Policy. Those policies are incorporated into these Terms where applicable.
Changes to these Terms
We may update these Terms periodically to reflect changes in our services, business practices, technology, or legal requirements.
The updated version will be posted on this page with a revised effective date. Changes will apply prospectively unless applicable law permits or requires otherwise.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Thread Wisely may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of business operations.
No waiver
A failure or delay in enforcing any provision of these Terms does not waive our right to enforce that provision or any other provision later.
Severability
If any provision of these Terms is found invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.
Entire agreement
These Terms, together with the applicable project agreement, accepted quote, invoice, approved proof, order confirmation, Privacy Policy, and Shipping and Returns Policy, constitute the entire agreement concerning the applicable transaction.
